Terms for using IMLOX.

These Terms of Service govern access to and use of IMLOX. By accessing or using IMLOX, you agree to these Terms.

The Service

IMLOX is an upstream origin-data trust and traceability operations platform designed to help teams collect, clean, review, link, and prepare supplier, producer, farm, plot, shipment, and related operational data before downstream workflows depend on it.

Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Access may be limited by workspace, role, or permission settings.

Customer Responsibilities

Customers are responsible for:

• Ensuring they have the right to upload, manage, or process data within IMLOX.
• Configuring workflows, review steps, and operational controls appropriately for their use case.
• Using the platform in a lawful and contractually authorized manner.
• Reviewing outputs before relying on them for compliance, audit, buyer, or shipment decisions.

Acceptable Use

You may not use IMLOX to:

• Break the law or violate the rights of others.
• Interfere with or disrupt the platform.
• Attempt unauthorized access to other accounts, workspaces, or systems.
• Upload malicious code, harmful content, or data you do not have the right to use.

Customer Data and Ownership

As between IMLOX and the customer, the customer retains ownership of customer data uploaded into the platform. You grant IMLOX the limited rights necessary to host, process, secure, transmit, and display that data solely for the purpose of providing the service.

Intellectual Property

IMLOX, including its software, design, branding, and platform materials, remains the property of IMLOX and its licensors. These Terms do not grant you ownership of the platform itself.

No Compliance Guarantee

IMLOX is intended to support data readiness, traceability preparation, review workflows, and defensible operational outputs. IMLOX does not guarantee legal compliance, regulatory approval, audit outcomes, or shipment acceptance.

Availability and Changes

We may improve, update, modify, suspend, or discontinue parts of IMLOX from time to time. We aim to operate the service reliably, but uninterrupted availability is not guaranteed.

Termination

We may suspend or terminate access if these Terms are violated, if required by law, or if continued access creates risk to the platform or other users. Customers may also stop using IMLOX subject to any separate commercial agreement.

Disclaimers

IMLOX is provided on an “as is” and “as available” basis except as otherwise agreed in writing. To the fullest extent permitted by law, we disclaim implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, IMLOX will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from or related to use of the service.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Continued use of IMLOX after updated Terms take effect means the updated Terms will apply.
